WE-ARTS General Terms of Sale Preamble
The terms used in the following general terms of sale (the General Terms of Sale) with a first block letter have the following meaning: We-Arts: refers to the WE ARTS limited company, Rouen (France) Trade Register number 509 541 959, editor of the technical Internet platform we-arts.com (the Website) which operates (I) Exhibitors hosting, (II) monetary transactions related to buying exhibition spaces for artworks, (III) sales of artworks submitted by Exhibitors and (IV) relations between Exhibitors, visitors and Buyers.
Exhibitor: refers to any physical or moral person who has got an exhibitor’s account in order to promote his/her artworks and to offer them for sale on the Website. The Exhibitor is the only liable person for all the content (text and pictures) he/she edits online on the Website via his/her personal space.
Buyer: refers to any physical or moral person who has got a personal account and who orders from the Website.Article 1: General provisions
1.1 Definition
The following We-Arts General Terms of Sale define the rights and duties of the parties on the occasion of the sale of one or several artworks to the Buyers on the Website.
The Buyer declares he/she understands them and accepts the relevant rights and duties. Any order placed on the Website is ruled by the herein General Terms of Sale
1.2 Modification of the General Terms of Sale
We-Arts reserves the right to modify its General Terms of Sale at any time. The applicable General Terms of Sale are the ongoing ones at the time of the confirmation of the order placed by the Buyer, as specified in the article 2.1 below.
Article 2: Orders
2.1 Terms of orders
The Buyer may place an order on the Website. The order can only be taken into account on the Website if the Buyer has clearly identified himself/herself with his/her user name and password, which are strictly personal. After confirming the content of his/her order, the Buyer will validate it for good with his/her payment. The order will only be definitive as from the Buyer pays the corresponding price. The validation of the order by the Buyer is worth his/her signature and full and entire acceptance of the herein General Terms of Sale. The Exhibitor or We Arts reserve the right to refuse any order for a legitimate reason.
2.2 Artworks availability
If one or several ordered artworks happen to be unavailable, We-arts notifies the Buyer by email as soon as possible, and commits to give a refund to the Buyer corresponding to the price of the undelivered artwork(s).
2.3 Modification of the order by the Buyer
As orders are definitive and irrevocable, any modification request made by a Buyer is submitted to the acceptance of the Exhibitor and We-Arts.
2.4 Cancellation clause and refund
According to the French Act L. 121-20 of the Consumer Code, the Buyer is granted a seven clear day limit as from the date of delivery of his/her order to send back the ordered artwork without having to give any reason or pay any penalty, except return fees. If this deadline ends on a Saturday, Sunday or a bank holiday, it is extended until the first following open day.
In case of a cancellation of the order and request for a refund, the Buyer must contact We-Arts (send an email to contact@we-arts.com) indicating that he/she
wishes to use his/her right of cancellation. We-Arts will notice the Buyer the terms of return of the artwork and especially the address of the Exhibitor whose artwork has to be sent back to. The Buyer’s refund will be made by credit to his/her bank account within thirty days as from the receipt by We-Arts of the Buyer’s request for his/her right of cancellation, provided the artwork has been returned to the Exhibitor in its original packaging and in good condition.
The Buyer assumes return postage and risks related to the return of an artwork. Article 3: Delivery
3.1 Artworks availability
In case an ordered artwork would not be available at the time of the order, the stipulations of the article 2.2 of the herein General Terms of Sale will be implemented.
3.2 Terms of delivery
The Buyer can choose between getting deliveries at home or to another address. He/she will then have to give the address where he/she wishes to be delivered to when validating his/her order. The delivery is made by shipping the artwork to the Buyer via the carrier company chosen by the Exhibitor after the validation of the order. When the product is delivered by the carrier company to the address indicated on the order form, the Buyer has to check the condition of the delivered good in the presence of the delivery man. In case of damaged or missing goods, the Buyer has to express a reservation on the delivery note or on the carriage receipt, and refuse the product if necessary and warn We-Arts.
The product delivered to the Buyer by a carrier company chosen by the Exhibitor travels at the Exhibitor’s own risk.
3.3 Lead time
The Exhibitor commits to make deliveries of the ordered goods as soon as possible. The times are given and specified on the online form of the artwork (in the “more information about the artwork” section). To follow a current order, the Buyer can check online the follow-up of his/her order, available in his/her personal space.
Article 4: Price
4.1 Selling price
The artworks selling price is expressed in euros and inclusive of tax. The selling price of the artworks is the one ruling on the day of validation of the order. The artworks selling price does not include postage charged in addition to the price.
4.2 Price modification
The Exhibitor reserves the right to modify his/her prices at any time. In case of a rise in prices subsequent to the order, the Exhibitor commits to apply the rates ruling on the day of validation of the order.
Article 5: Price settlement
5.1 Repayability
The price is payable cash with order.
5. 2 Methods of payment
The settlement is made via the secure BNP Paribas payment system, Merc@net, or by Paypal, provided by We-Arts.
5.3 Default in paying
We-Arts reserves the right to refuse an order if doubts arise concerning the validity of a transaction made through the secure payment tools Merc@net or Paypal.
5.4 Confidentiality
We-Arts implements all necessary means in order to ensure confidentiality and security of the data transmitted on the Internet. For this purpose, the Website uses a secure SSL (Secure Socket Layer) type system of payment.
Article 6: Guarantees
When he/she sends the artwork to the Buyer, the Exhibitor commits to provide the Buyer with a dated and signed certificate of authenticity of the artwork, in order to prove the unique nature of the artwork ordered by the Buyer.
Article 7: Exemption from responsibility
The responsibility of the Exhibitor and of We-Arts cannot be involved in case of non- execution or ill execution of their duties as regards to the herein General Terms of Sale when resulting from the choices of the buyer, of a third part, or in case of force majeure.
Article 8: Litigations settlement
8.1 Applicable Law
The herein General Terms of Sale will be executed and interpreted according to the French Law.
8.2 Claims

8.3 Litigation
In case of a litigation, the Buyer will first and foremost contact We-Arts to get an amicable settlement. If that procedure does not work out, only the French jurisdictions will be competent.
